1. Introduction

These Terms of Service ("Terms") govern your access to and use of the services offered by Esdiac Telecommunications ("Esdiac," "us," "our," or "we"), including through our website at esdiac.com, our mobile application ("App"), and through our authorized retailers. Esdiac provides the following services:

  • International VoIP Calling — enabling consumers to make high-quality international calls through the Esdiac App on their mobile devices.
  • eSIM Data Plans — enabling consumers to purchase and activate instant eSIM data plans for mobile data access in 190+ countries, without a physical SIM card.
  • Prepaid Calling Cards — enabling consumers to make outbound international calls through a landline or mobile phone without internet access.
  • Account Top-Up and Payment Services — enabling consumers to fund their Esdiac account through the App, website, or authorized retailers.

By accessing our website, downloading the App, or purchasing or using any of our products and services, you confirm that you have carefully read these Terms and our Privacy Policy (collectively, the "Agreement"), that you are bound by the Agreement, and that you are responsible for compliance with all applicable local laws. If you do not agree with any part of these Terms, you must not use any Esdiac service.

2. Profile and Personal Information

2.1 Profile Information

To use the Esdiac App, you must create a member profile. The profile requires your name, email address, country of residence, and phone number. Esdiac may verify the email and phone number you provide at registration.

2.2 Personal Information Accuracy

You agree that all personal information you provide at registration and throughout your use of the Services shall be true, accurate, up-to-date, and complete. You agree to update your information promptly if it changes. If any information you provide is inaccurate or incomplete, Esdiac reserves the right to suspend or terminate your account and access to Services.

2.3 Data We Collect

We collect device, diagnostic, crash, log files, website and performance data, and service-related information to facilitate and improve your experience. The collection, use, and protection of your personal information is governed by our Privacy Policy.

3. The Services

Esdiac Telecommunications provides international telecommunications and connectivity services. The following sections describe each service in detail.

3.1 International VoIP Calling

With the Esdiac App, you can place outbound internet-based international calls to any conventional telephone number in supported destinations, without requiring your contact to have the Esdiac App. To use this service, you must create an account and maintain a funded balance. Calls are charged on a pay-as-you-go basis at the per-minute rate published on our website and App. Rates are displayed for both landline and mobile destinations and may vary by country.

Esdiac also provides video calling for registered users at applicable rates. You may share call credit with other registered Esdiac users. A transfer fee of $0.25 applies per credit-sharing transaction. Esdiac may offer promotional credits to new users in select countries, valid for 10 days, limited to one offer per device.

3.2 eSIM Data Plans

Esdiac offers instant eSIM data plans for mobile data access in 190+ countries and regions, allowing you to activate mobile data on any compatible unlocked device without a physical SIM card swap. To purchase an eSIM plan:

  • Browse available plans by destination country or region in the App or on our website.
  • Select a plan specifying your desired data allowance, validity period, and coverage area.
  • Complete payment through the App. Upon successful purchase, you will receive a QR code or activation code for installation on your device.
  • eSIM plans are non-refundable once activated. If a plan has not been activated, contact support@esdiac.com within 24 hours of purchase to request a review.

eSIM plans are data-only and do not include voice calling or SMS unless explicitly stated. Compatibility with your device and network is your responsibility to verify prior to purchase. Esdiac does not guarantee data availability or speed in all locations, as these depend on local carrier partners.

3.3 Prepaid Calling Cards

Esdiac offers prepaid calling card services for outbound international calls via landline or mobile phone without requiring internet access. You do not need to be a registered member or have the Esdiac App to use a prepaid calling card. Remaining balances can be transferred to your Esdiac App account. Calling cards are available through authorized retailers.

3.4 Intellectual Property Rights

Esdiac grants you a limited, non-exclusive, non-transferable license to use the App on a device you own or control for personal, non-commercial purposes only. This is a license, not a transfer of ownership. You may not modify, copy, distribute, decompile, or reverse engineer any part of the App or website. Esdiac retains all intellectual property rights in its website, App, and services. This license terminates immediately upon any breach of these Terms.

3.5 Payments and Top-Up

You may fund your Esdiac account through the App or website using accepted debit or credit cards, or other payment methods made available by Esdiac. Payments are processed through third-party payment processors. Esdiac does not store raw card data. All charges are billed in US dollars.

3.6 Charges and Fees

All calling services are charged on a per-minute pay-as-you-go basis. A service fee of $0.35 is applied after your first call initiation and every 30 days thereafter. eSIM data plans are charged at the fixed price displayed at the time of purchase. All charges are automatically deducted from your account balance. Esdiac reserves the right to change rates at any time; updated rates will be reflected on the website and App immediately.

3.7 Roaming and Additional Charges

If you use the Esdiac App while roaming on a third-party carrier's network, additional data roaming charges from your mobile operator may apply. Esdiac is not responsible for such charges. If you believe you have been incorrectly charged by Esdiac, notify us at support@esdiac.com within 90 days of the error, or within 120 days of its occurrence. No adjustments will be made after these deadlines.

3.8 Refunds

We do not offer refunds for purchased account credit, unused calling balances, or activated eSIM data plans. Unactivated eSIM plans may be reviewed for refund if you contact support@esdiac.com within 24 hours of purchase. If a service interruption occurs due to Esdiac's fault, you may be eligible for a credit applied to your account. Credits will not be awarded in cash. Esdiac retains the right to refuse credit requests if you violate the User Agreement or use the service fraudulently.

3.9 Promotional Offers

Esdiac may offer promotions to App users. Esdiac reserves the right to restrict promotional offers to specific users, devices, locations, or time periods. Abuse of promotional terms may result in account termination and removal of promotional balances.

3.10 Credit Expiration

Calling credit balances in your account do not expire. However, a monthly service fee applies after your first call initiation, as described in Section 3.6. eSIM data plans expire at the end of their stated validity period.

3.11 Emergency Calls

Esdiac's VoIP and eSIM services do not support or carry emergency calls to law enforcement, hospitals, medical care units, or any emergency services. Do not rely on Esdiac services for emergency communications. Esdiac is not liable for any inability to place emergency calls using its services.

4. General Terms for All Services

4.1 Permitted Use

You agree to use Esdiac's services only for lawful, personal, non-commercial purposes in compliance with these Terms and all applicable laws, regulations, and guidelines in your jurisdiction, including export laws. Esdiac may impose usage limits, restrict access, or suspend your account at any time without prior notice.

4.2 Prohibited Use

You agree not to:

  • Use the services for any unlawful, fraudulent, or commercially exploitative purpose.
  • Use the services to transmit spam, unsolicited communications, or content that is illegal, offensive, defamatory, or harmful to minors.
  • Attempt to hack, decompile, reverse engineer, or inject malicious code into the App or any Esdiac system.
  • Infringe on Esdiac's or any third party's intellectual property rights.
  • Sell, assign, resell, or distribute Esdiac services to third parties without express written consent.
  • Use auto-dialers, fax blasts, or generate excessive call patterns inconsistent with normal individual use.
  • Use the services in any country or jurisdiction where their use is prohibited by law.

Esdiac may immediately suspend or terminate any account displaying suspicious call patterns, excessive usage, or any activity suggesting unauthorized or fraudulent use.

4.3 Limitation of Liability

To the fullest extent permitted by applicable law, Esdiac and its affiliates shall not be liable for any personal injury, property damage, lost profits, loss of data, work stoppage, device failure, or any indirect, special, incidental, consequential, or punitive damages arising from your use of or inability to use the services. Esdiac's total aggregate liability to you shall not exceed the amount you paid to Esdiac in the five months preceding the event giving rise to the claim, subject to a maximum of $1,000.

4.4 Device and Unauthorized Access

If your device is lost, stolen, or subject to unauthorized access, you must notify Esdiac immediately to suspend your account. You are responsible for all usage charges incurred until your account is suspended and are solely responsible for maintaining the security of your account credentials.

4.5 Third-Party Services

Esdiac's services depend on third-party infrastructure including international carriers, local network partners, eSIM provisioning providers, and your local mobile operator. Esdiac does not guarantee uninterrupted service and is not responsible for interruptions caused by third-party providers. VoIP services may be restricted by some mobile operators; you are responsible for confirming that your operator permits VoIP usage under your plan.

4.6 No Warranties

Services are provided "as is" and "as available" without warranty of any kind, express, implied, or statutory. Esdiac does not warrant that services will be uninterrupted, error-free, or free of defects, and does not guarantee call quality, eSIM data speeds, or coverage in all areas.

4.7 Information Disclosure

Esdiac reserves the right to disclose any account data or information as required by applicable law, regulation, legal process, or government request.

4.8 Suspension and Termination of Services

Esdiac may suspend or terminate your access to any or all services at any time without notice for breach of these Terms, fraudulent activity, excessive usage, or any other operational reason. Upon termination, all rights granted under these Terms immediately cease and you must stop using all Esdiac services and delete the App from your devices.

5. Termination

These Terms remain in effect until terminated by you or Esdiac. You may terminate at any time by ceasing to use all Esdiac services. Esdiac may terminate or suspend your account immediately if you:

  • Violate any provision of these Terms.
  • Use the services for illegal, fraudulent, or abusive purposes.
  • Fail to pay applicable charges.
  • Engage in excessive calling patterns, billing irregularities, or misuse of promotions.
  • Become subject to bankruptcy, insolvency, or similar proceedings.
  • Are required to be terminated due to changes in applicable laws or regulations.

Upon termination, all rights granted to you end immediately. Any remaining account balance is forfeited and has no cash value.

6. General Provisions

6.1 Taxes

You are solely responsible for all applicable taxes in connection with your purchase and use of Esdiac services.

6.2 Electronic Communications

By using our services, you consent to receive communications from Esdiac electronically, including via SMS, email, push notifications through the App, or postings on our website. You may withdraw consent at any time by contacting us. Standard message and data rates from your carrier may apply.

6.3 Changes to Terms

Esdiac may update these Terms at any time at our sole discretion. Updates will be posted on our website at esdiac.com. Continued use of our services after changes are posted constitutes your acceptance of the updated Terms. For changes required immediately for security or legal compliance, updates may be effective immediately upon posting.

6.4 Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. This applies regardless of where you reside or use our services.

6.5 Indemnification

You agree to indemnify, defend, and hold harmless Esdiac Telecommunications, its subsidiaries, affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including legal fees) arising from your use of the services, your violation of these Terms, or your infringement of any third-party rights.

6.6 Assignment

You may not assign or transfer any rights or obligations under these Terms without Esdiac's prior written consent. Esdiac may assign its rights and obligations without notice to you.

6.7 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

6.8 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Esdiac Telecommunications regarding the use of our services and supersede all prior agreements, representations, or understandings.
